Corben Lee focuses on assisting privately and publicly held companies on merger and acquisition transactions, securities matters, and corporate governance issues.
Prior to joining Krieg DeVault, Mr. Lee served as an associate attorney at an Indiana law firm concentrating in numerous aspects of business and corporate law.
Representative Experience
- Advised emerging growth companies in organizing and conducting unregistered securities offerings
- Advised clients on the organization of a new business including ownership structure, drafting organizational documents for corporations, limited liability companies, and other entity types, and drafting minutes and resolutions
- Negotiated and provided counsel to emerging growth companies in convertible note and preferred stock investments
- Advised and assisted companies in both the acquisition and sale of a business
- Advised and assisted emerging growth companies regarding issuing equity incentives and corresponding plans including restricted stock, nonqualified stock options, incentive stock options, and counsel on 83(b) elections
