Corben A. Lee

Corben Lee advises businesses, owners, and investors on the transactions and strategic decisions that shape how companies grow, raise capital, and transition ownership. His practice brings together corporate counseling, mergers and acquisitions, securities, and employee stock ownership plans (ESOPs), providing clients with practical guidance tailored to their business objectives.

Mergers & Acquisitions. Corben represents buyers and sellers throughout all aspects of mergers and acquisitions, helping clients navigate transactions from the earliest stages through closing. His work includes due diligence review and management, negotiation, deal structuring, and transaction documentation, beginning with the letter of intent and continuing through completion of the transaction.

General Counsel. Corben provides general corporate counsel to businesses, taking a personalized approach that reflects each client’s specific needs and priorities. His experience across corporate, transactional, securities, and ownership matters allows him to provide guidance that considers both the immediate legal issue and the client’s broader business goals.

• Advised private companies on the preparation and filing of Hart-Scott-Rondino filings
• Advised emerging growth companies in organizing and conducting unregistered securities offerings
• Advised clients on the organization of a new business including ownership structure, drafting organizational documents for corporations, limited liability companies, and other entity types, and drafting minutes and resolutions
• Negotiated and provided counsel to emerging growth companies in convertible note and preferred stock investments
• Advised and assisted companies in both the acquisition and sale of a business
• Advised and assisted emerging growth companies regarding issuing equity incentives and corresponding plans including restricted stock, nonqualified stock options, incentive stock options, and counsel on 83(b) elections
