Shay Recla is a member of the firm’s Real Estate and Environmental, Business, Acquisitions & Securities, and Commercial & Real Estate Lending Practice Groups. She regularly assists real estate developers, financial institutions, government entities, health care, and corporate clients with the acquisition, sale, development and financing of commercial real estate.  Shay has extensive experience in environmental and land use issues, including civil litigation.   

Ms. Recla has assisted with numerous real estate transactions, environmental compliance matters, corporate transactions and administrative actions. She has also assisted with alternative energy transactions, and the formation of conservancy districts, regional water and sewer districts and associated bond transactions. 

Representative Experience

  • Assisted with real estate matters associated with $900 million wind farm facility in southern Indiana
  • Assisted with real estate matters associated with solar farm facilities
  • Assisted with a federal Consent Decree case resulting in an approximate $2 million reduction in remediation costs and penalties, including affiliated appeals to the U.S. Court of Appeals for the Seventh Circuit and U.S. Supreme Court
  • Assisted with case involving the defense of an Indiana city in a case of first impression defeating plaintiffs’ claims of a riparian “right to a view” and inverse condemnation, including a successful appeal to the Indiana Court of Appeals
  • Assisted with $12 million Stock Purchase Agreement and corporate acquisition of a Midwest environmental consulting and engineering company by a publicly-owned Australian company (responsible for drafting and compiling exhibits, schedules and related closing documents)
  • Assisted health care provider with purchase, financing and conversion of 100,000 square foot former shopping center into multi-specialty medical office building
  • Responsible for all aspects of real estate transactions including reviewing title work and drafting real estate purchase agreements, lease agreements, sublease agreements, easement agreements, conveyance documents and affiliated closing documents
  • Regularly assists with formation of business entities, Uniform Commercial Code filings and regulatory correspondence
