Ashley Rosenblatt supports clients through strategic legal counsel in business transactions, regulatory compliance, and legislative matters. Her experience includes advising on mergers and acquisitions, corporate governance, private equity & venture capital endeavors, as well as public policy issues. Prior to joining Krieg DeVault as an Associate, Ashley served as a Law Clerk with the firm and now contributes to the Business, Acquisitions, and Securities Practice, where she assists clients with foundational documentation, buy-sell agreements, and operational planning strategies.

Ashley previously held legal externships with the Indiana Gaming Commission and the Indiana Commercial Court, where she conducted legal research, drafted advisory memoranda, and contributed to published judicial orders involving complex commercial disputes. She also supported the Commission’s legislative and regulatory initiatives, including preparing executive analyses for presentation to the Indiana General Assembly. Before entering the legal field, Ashley built a successful career in the alcohol beverages industry, working for the State’s largest beer & wine wholesaler as well as the world’s largest family owned and operated winery and distiller.  In both experiences, Ashley was responsible for managing multimillion-dollar portfolios and leading strategic growth initiatives across sales and brand management roles.  Ms. Rosenblatt began her career as a legislative assistant in the Indiana House of Representatives, serving under the Chairman of the House Public Policy committee, specializing in alcoholic beverages and gaming legislation. 

Representative Experience

  • Advised financial and strategic buyers and sellers in middle-market transactions involving asset and stock sales, mergers and acquisitions, licensing procedures, and affiliate transactions.
  • Supported corporate clients with foundational documentation, buy-sell agreements, and corporate governance matters.
  • Provided legal and strategic guidance on governmental affairs, including drafting and reviewing legislation and advising on regulatory compliance related to alcohol beverage laws, gaming legislation, and public policy.
  • Conducted legal research and drafted advisory memoranda for the Indiana Gaming Commission, contributing to legislative and regulatory initiatives and preparing executive analyses for presentation to the Indiana General Assembly.
  • Drafted published judicial orders and conducted legal research on complex commercial disputes during a judicial externship with the Indiana Commercial Court under the Honorable Heather A. Welch.

Business, Acquisitions and Securities Transactions

  • Served as transaction counsel to widely-held company in restructuring organization to an Employee Stock Ownership Plan company.
  • Served as transaction counsel to privately-held company undergoing a corporate restructuring and sale.
  • Representing and assisting clients with all aspects of asset-and equity-based acquisitions and divestitures, including negotiation of definitive agreements, managing due diligence, and closing the transaction.
  • Drafting and negotiating documentation for corporate clients of all sizes with respect to organization, operations, compliance, governance and lending matters, including contracts for a variety of needs, confidentiality agreements, non-compete and non-solicitation agreements, internal dispute matters, organizational documents, board, shareholder, and member meeting minutes and resolutions, and other related issues.
  • Representing clients with complex transactions involving mergers, dissolutions, joint ventures, licensing arrangements, and restructurings.
