Stephanie Truchan focuses her practice on a wide range of commercial real estate transactions, with an emphasis on representing developers in all phases of real estate development, including acquisitions, dispositions, and leasing across a variety of asset classes. Drawing on her background in urban planning, Stephanie also advises on land use and zoning matters as part of the broader development process.
In addition, Stephanie has experience advising clients on renewable energy projects, including utility-scale wind, solar, and battery storage, with a focus on real estate, zoning, and permitting matters.
Representative Experience
- Lead real estate counsel to owner of a regional shopping center anchored by national and local tenants, advising on leasing, asset management, and ongoing operational matters.
- Lead real estate counsel for developer of mixed-product residential communities
- Facilitate conversions of mixed-use and hospitality buildings to business condominiums to segment office, residential, retail, and parking components
- Counsel to commercial landlords for all leasing matters at shopping centers and multi-tenant buildings and office parks, including drafting and negotiating leases and ground leases, preparing, revising, and enforcing covenants and restrictions, negotiating easements and encumbrances, and other related matters
- Represent landowners in lease and purchase negotiations with solar energy developers
- Regularly engaged by the firm’s corporate and business transactions group to provide real estate counsel in connection with stock and asset acquisitions and dispositions, including diligence review, risk analysis, and structuring input on real property aspects of transactions.
- Support development projects through all phases of the entitlement process, including rezonings, subdivisions, variances, and historic preservation approvals; interface with municipal boards and agencies to advance project approvals.
- Served as key member of local counsel real estate team in connection with a $600 million U.S. Department of Energy–backed financing for the development of a battery production facility, and a separate $6 billion DOE financing for a similar large-scale project; responsibilities included advising on real estate due diligence, title and survey matters, and closing deliverables in coordination with a multi-disciplinary legal team.
- Represented investors and developers in structuring and completing like-kind exchanges, including reverse exchanges and parking arrangements; advised on transaction structuring, documentation, and compliance with applicable IRS timing and identification rules.
- Represented a multifamily developer in connection with the acquisition and entitlement of raw land for a mixed-use development, including residential, retail, and commercial components; advised on land use strategy, zoning approvals, and transaction execution
