It is with great sadness that we announce to you the unexpected passing of our beloved colleague and valued friend, Lian S. Gravelle.

Those that had the opportunity to work with Lian know the high level of professionalism she brought to her clients and her position at the firm. The Krieg DeVault family will greatly miss her friendship, professionalism and years of dedicated service in the legal community.

Lian Gravelle serves as an Of Counsel attorney in the firm's Employee Stock Ownership Plans ("ESOPs") Practice Group.  Ms. Gravelle's practice is focused on the structuring and implementation of complex ESOP and business succession transactions. She has extensive experience with many facets of ESOPs including initial plan design and amendments, IRS corrections, DOL audits, regulatory and compliance, and fiduciary duties. 

Ms. Gravelle's experience with an institutional ESOP trustee ensures that clients are represented with the highest level of integrity throughout the life of the ESOP. Her experience involves initial ESOP transactions, second stage transactions, phantom stock and synthetic equity plans, due diligence reviews initially and annually, and annual valuations of company stock. She has helped clients work with the DOL and IRS to correct problem transactions and valuations.

Ms. Gravelle has past career experience working as an ESOP Relationship Manager for Horizon Trust & Investment Management.  In that capacity, Ms. Gravelle worked directly with clients for whom Horizon was a discretionary trustee for multiple transactions per year.  She also worked with many ESOP clients for whom Horizon was the ongoing directed trustee.  Additionally, she has served as a Client Consulting Administrator for OneAmerica, a major employee benefits consulting firm, and as an ESOP attorney for a New York-based law firm.

  • Initial and second stage ESOP transactions, senior and mezzanine debt financing, internal loan refinancing
  • Acquisitions of ESOP companies and subsequent ESOP terminations
  • ESOP terminations due to other corporate reasons, acquisitions by ESOP companies
  • Corporate roll-up mergers, recapitalization, and other tax-free reorganizations
  • Corporate conversions from S corporation to C or vice versa, and other corporate restructuring prior to commencing ESOP transactions
  • Drafting, negotiating and reviewing various transaction documents, including asset and stock purchase agreements, participant information documents for terminations and pass-through voting rights, senior and mezzanine financing agreements, “internal” loan and security pledge agreements, intercreditor agreements, credit agreements, guaranties, confidentiality agreements, employment or consulting agreements, ESOP plan and trust documents, phantom stock awards and other synthetic equity awards, 1042 statements, and legal opinions
  • Preparing and reviewing various federal and state filings, including audit response for the Department of Labor and Internal Revenue Service
  • Providing general corporate and tax law advice, including corporate and trustee compliance or governance advice for ESOP companies
