W. Jason Deppen

Jason Deppen is a member of the firm's Financial Institutions, Business and Securities Compliance Practice Groups.  Mr. Deppen focuses his practice on advising businesses, including financial institutions, with respect to formation, bank regulatory compliance, securities compliance, proxy contests, mergers and acquisitions and general corporate matters.   

Prior to entering the practice of law, Mr. Deppen gained significant experience within the financial services industry through his work as an internal auditor within the capital markets product areas of Bank One Corporation and as a senior financial services consultant with BearingPoint, Inc.  Mr. Deppen additionally served as a judicial extern for the Honorable Bruce W. Black, U.S. Bankruptcy Court for the Northern District of Illinois, while in law school.

Representative Experience

  • Regularly assist public clients with their continued compliance with state and federal securities laws, including Securities Exchange Act reporting obligations and corporate governance matters
  • Advise start-up and early stage life sciences companies in organization, capital formation and commercial activities
  • Assisted in the analysis, documentation and closing of several bank holding company merger transactions, including a public client's $37 million acquisition of a public bank holding company
  • Served as counsel to an Indiana-headquartered public company in connection with the analysis, documentation and closing of the mergers of various subsidiaries into the parent company and subsequent dissolution of a subsidiary
  • Assisted in the negotiation and documentation of a client's $3.3 million acquisition through an asset purchase of a South Carolina corporation
  • Assisted in the documentation and closing of a client's $180 million firm commitment underwritten public offering of common stock
  • Assisted in the negotiation, documentation and closing of a public client's $90 million acquisition of publicly-held bank holding company and simultaneous merger of the underlying bank subsidiaries
  • Served as counsel to an Indiana bank holding company in connection with the documentation and closing of the merger of its subsidiary banks
