Robert Goode is a member of the firm's Business, Acquisitions, and Securities and Intellectual Property and Technology Practice Groups.

His practice in the area of Business, Acquisitions, and Securities is primarily focused on providing general corporate and business law advice to privately and publicly held companies, assisting companies with mergers and acquisitions, corporate governance, securities matters, contract drafting and interpretation, and other general business matters.

In the area of Intellectual Property, Mr. Goode focuses primarily on trademark and copyright matters for both domestic and international clients.

Prior to joining Krieg DeVault, Mr. Goode served as an associate with a northern Indiana law firm where he advised the firm’s clients in numerous aspects of business, corporate, commercial real estate, intellectual property, municipal government, and regional development authorities law.

Representative Experience

  • Managed trademark portfolios comprised of U.S. and foreign trademark applications and registrations
  • Representing and advising clients in areas of intellectual property and internet law, including copyright and trademark issues, website terms and conditions and privacy policies
  • Prepared preliminary and definitive proxy statements and related filings for public corporations for filing with SEC and distribution to shareholders
  • Drafted amendment to Indiana statute
  • Assisted corporation in recapitalizing into a dual class stock structure
  • Assisted clients with organizing new businesses, including advising on ownership structure and drafting organizational documents for corporations, limited liability companies, partnerships, and other entity types
  • Assisted clients with due diligence, documentation, and closing of asset-based acquisitions, stock-based acquisitions, and mergers
  • Assisted in high-level and complex merger and acquisition deals valued in the billions of dollars 
  • Assisted  companies with reorganizations and liquidations
  • Assisted and advised companies regarding capital raising options, including preparing and conducting private placements of both equity and debt securities, options, and warrants
  • Advised business in organizing and conducting an unregistered offering, including preparing a private placement memorandum, completing SEC and Blue Sky filings, and advising the client on compliance with SEC and state rules and regulations
  • Advised businesses regarding corporate compliance and governance matters and prepared necessary documents for same, including Board minutes and resolutions, buy-sell agreements, subscription agreements, redemption agreements, confidentiality agreements, non-compete agreements, and non-solicitation agreements
  • Assisted clients in negotiating and executing proposed business deals, including drafting letters of intent, definitive agreements, and final agreements
