Nicholas J. Chulos
Mr. Chulos devotes his practice primarily to general corporate, financial institutions, merger/acquisition and real estate matters. Mr. Chulos devotes a substantial portion of his practice to working with businesses, financial institutions and their boards of directors in virtually every facet of corporate and regulatory representation. He has structured, negotiated and completed many merger, acquisition and sale transactions involving public companies, financial institutions and closely-held corporations, as well as been involved in numerous public and private offerings of securities. He also regularly represents clients in loan workouts and credit restructurings, as well as in real estate matters. Mr. Chulos has listed securities on all major stock exchanges and has extensive knowledge of the various rules and requirements of the New York Stock Exchange, Nasdaq and the American Stock Exchange.

- Represented purchasers and sellers of financial services companies and other business in over 75 transactions, including transactions requiring various federal and state regulatory filings
- Represented issuers in over 50 public and private offerings of securities
- Represented financial institutions in over 40 credit restructuring and loan workout transactions
- Represented clients before plan commissions, boards of zoning appeals and redevelopment commissions in connection with subdivisions, conditional uses, use variances, developmental variances and other related matters
- Represented purchasers and sellers of commercial real estate, including property having environmental considerations
- Counseled boards of directors on a wide variety of topics, such as merger and acquisition transactions, annual and special meetings of shareholders, shareholder relations, hiring and termination of chief executive officers and other senior management, anti-takeover measures and derivative proceedings
- Represented both corporations and significant shareholders in connection with corporate control proceedings, shareholder proposals, proxy contests and other shareholder demands
- Represented public companies in connection with the preparation of proxy statements and annual, quarterly and other reports filed with the Securities and Exchange Commission
