Karen B. Woods

Karen Woods focuses her practice on representing financial institutions with respect to general corporate, mergers and acquisitions, securities and bank regulatory matters. Ms. Woods also assists general business clients with their corporate legal needs, including public and private financing and securities matters, and assisting entrepreneurs in forming businesses. Before going into private practice, Ms. Woods served as a judicial law clerk to the Honorable John G. Baker, Indiana Court of Appeals.

Representative Experience

• Represented publicly traded financial institutions in numerous whole bank and branch purchase transactions
• Represented both private and publicly traded financial institutions in common stock, debt and trust preferred offerings
• Represented issuers and underwriters in several private placements registered under Regulation A or Regulation D of the Securities Act of 1933
• Represented a start-up medical device company from formation through four rounds of private financing
• Represented financial institutions in the formation of holding companies
• Advised both publicly traded and private financial institutions on corporate governance matters
• Advised several financial institutions regarding participation in the U.S. Treasury's Troubled Asset Relief Program Capital Purchase Program and other recent federal legislation
• Prepared numerous annual and special proxy statements and prospectuses for both publicly traded and private financial institutions and general business clients
