John W. Tanselle

Partner

John Tanselle's practice is primarily focused on counseling the management of financial institutions and their boards of directors with respect to general corporate matters, corporate governance issues, securities law compliance, regulatory compliance, regulatory enforcement situations, and executive compensation issues.  Mr. Tanselle has served as counsel in numerous transactions involving mergers and acquisitions, hostile takeovers, issuer tender offers, and the formation of de novo financial institutions.  He has also served as issuer's counsel and underwriters' counsel in public offerings of equity and debt securities and been involved in the implementation of leveraged employee stock ownership plans.  Mr. Tanselle is the former chair of the firm's Financial Institutions Practice Group and currently serves as a member of the firm's Executive Committee, Diversity Committee, Associates Committee, and Recruiting Committee.

Representative Experience

  • Counsel responsible for the formation of state and nationally chartered financial institutions and the formation of holding companies for these institutions
  • Counsel for the issuer of subordinated debentures in a public offering registered under the Securities Act of 1933
  • Counsel for the participant in a financial institution in a merger of equals
  • Counsel for the acquiring entity in a financial institution acquisition, including the issuance of securities in a private placement by the acquiring entity in order to fund the acquisition
  • Counsel to financial institution holding companies with respect to filings under the Securities Exchange Act of 1934
  • Counsel for the selling entities in financial institution mergers
  • Counsel to financial institutions with respect to the formation of bank holding companies
  • Counsel to boards of directors with respect to corporate governance matters
  • Counsel to financial institutions in cease and desist matters and other regulatory enforcement matters
  • Counsel to financial institutions in converting from the mutual to stock form of ownership, including the issuance of securities in connection with such conversion
  • Counsel to financial institutions with respect to the formation of subsidiaries, including investment subsidiaries
