David E. Corbitt

Dave Corbitt is a member of the firm's Business and Governmental Affairs Practice Groups. His practice is concentrated primarily in the transactional areas of mergers and acquisitions, securities laws and corporate law. Furthermore, he has spent a significant amount of time assisting clients in respect of a variety of general corporate matters, including, but not limited to, matters concerning corporate governance, choice of entity, dissolution, corporate finance, corporate control and operation with specific emphasis on the needs of privately and closely held businesses. Mr. Corbitt has also provided guidance to clients with respect to laws, rules, regulations and regulatory matters relating to charter schools, governmental affairs and procurement, master and sub-franchise arrangements, public-private partnership, new market tax credits, banking, investment advisers and broker/dealers.

Representative Experience

• Lead counsel for the largest service provider to the Indianapolis International Airport in connection with the negotiation and documentation of the Management Agreement between the airport and service provider regarding the operation of the Central Energy Center, which facility is the airport heating and cooling utility; including the negotiation of a $30 Million credit facility
• Negotiated and documented the purchase (through a $7.1 Million stock sale transaction) of a local telephone and broadband service provider
• Serves as counsel to Indianapolis-Marion County Building Authority providing guidance in respect of matters relating to governmental regulations and operational contract issues, maintenance and management agreements, real estate, government finance, and procurement regulations
• Served as counsel to an Indiana-based parent company in connection with the analysis, negotiation and documentation of the $21 Million acquisition of a chemical distribution company under the laws of the territory of Puerto Rico
• Organized, managed and documented the formation of foreign distribution subsidiaries (or other business operations) within and under the laws of Brazil, Canada, Hong Kong, India, Mexico, and the People’s Republic of China
• Represented angel investor in connection with an investment exceeding $3 Million in convertible securities of a start up company that provides access technologies to television and cable service providers
