Charles S. Coleman

Charles Coleman is a member of the firm's Business Practice Group.  His main areas of practice include corporate finance, mergers and acquisitions, general corporate and business law, secured lending matters, and student loan finance.  He counsels a wide range of clients in mergers, acquisitions and dispositions of businesses involving privately and publicly held companies; joint ventures; licensing arrangements; corporate governance matters; secured and structured financings; sales of goods and services; securities regulation; and other general business matters and commercial needs.  He has advised many start-up businesses, including those utilizing venture capital and private equity financing.  He also has served as underwriters’ counsel on tax-exempt student loan issues and student loan securities throughout the country.

Representative Experience

  • Serve as outside corporate counsel to various Indiana privately-held companies with respect to capital raising activities and other general corporate matters
  • Represented the purchaser in negotiation and acquisition of stock purchase of established software company with operations in Canada and Australia 
  • Represented the purchaser in connection with $65 million stock purchase of pipeline construction company
  • Represented the purchaser in connection with purchase of pipeline construction companies  in multiple states
  • Represented hospital system in connection with medical group acquisitions
  • Served as Indiana counsel to Canadian investment fund in connection with its purchase of Indiana steel company
  • Represented privately-held seller in negotiation, documentation and sale of its retail clothing business to a public company purchaser
  • Represented privately-held seller in negotiation, documentation and sale of pet products business
  • Represented hospital system in connection with establishing central laboratory joint venture with other hospital systems
  • Represented hospital system in connection with the sale of its ownership interest in a health insurance network
  • Acted as underwriter's counsel to multiple investment banks in connection with over $2 billion of student loan backed bond offerings and securitizations 
  • Acted as issuer's counsel in connection with $50 million auto loan securitization
  • Served as borrower's counsel in connection with a secured financing of $150 million for a commercial lending company
  • Served as counsel to private equity investor in connection with a Class A preferred share investment in software development company
