Mr. Geisler concentrates his practice in the area of corporate and securities law and is a partner in the Business, Financial Institutions and Healthcare Practice Groups. He has extensive experience in both international and domestic financings and restructurings, including acquisition financings, project and infrastructure financings, and privatizations. In addition, Mr. Geisler has experience in the structuring and negotiation of public-private partnerships, federal and state government contracts from bid to project completion, and in the structuring and documentation of supplier relationships. Mr. Geisler is a graduate of the University of Michigan and received both his law degree and Master of Business Administration from Georgetown University.
Mr. Geisler's experience includes the following representations:
State of Indiana in its public-private partnership with IBM for the back-office administration of Indiana's public assistance eligibility process
Petro-Canada, Canada's national oil and gas company, in its privatization, its various US debt offerings and the financial structuring of its interest in the Syncrude tar sands project
Imperial Oil (Canada) in its acquisition of Texaco Canada
Ontario Hydro, Ontario's then unified electrical utility, in its US shelf registration and various US debt offerings
Province of Alberta, in its US debt shelf registration and various US debt offerings
Rolls-Royce Corporation in its Kelly Aviation Center joint venture with Lockheed Martin and General Electric
Rolls-Royce Corporation in the structuring and negotiation of its world-wide aero engine service networks for the Model 250 and T56 aero engines
US Air Force and the United States in the settlement of litigation resulting from the termination of the Rail Garrison mobile-basing of MX missile program
US Air Force in the bid process and contract administration of the Turkey Base Maintenance Contract with Vinney Brown & Root
Old National Bancorp in its shelf registration and various debt offerings
Bank of America as agent in the $2.3 billion restructuring of Group VISA, S.A. de C.V., Mexico's largest Coca-Cola bottler and Mexico's largest brewery (FEMSA)
Citibank as agent in syndicated financings for the leveraged buyout of RJR Nabisco and subsequent spin-out transactions, including the acquisition of Filene's and Filene's Basement by May Department Stores
